 Event Objective
This half day event aims to give delegates a better understanding of the long MOI (memorandum of incorporation)  as well as certain governance issues of companies according to the Companies Act.
 

About the presenters

Suzette has been actively involved with Cipro/ CIPC changes and registrations for the last 9 years in a practice enviroment. She has also been presenting secretatial courses since B Square started in 2010.

 

Martin Barnard is the  Chairman of SAICA's West Rand District and also the Chairman of SAICA's Northern District Tax Committee. He is a CA and Registered Auditor. He has been in private practice for the last twelve years and understands the frustrations and daily challenges of the Auditing, Accounting and Small Business sectors.

About the seminar
Some of the key areas that will be covered during the seminar are: 

  1.  
    1. Corporate Governance issues  i.e.  AGM’s , Appointments, Resolutions and Special Resolutions, Shareholders Authority, Directors Authority, etc.
    2. The MOI (CoR 15.1B): the form will be dealt with in detail by analysing the form step by step
    3. The Conversion from the old Memo and Articles of Association to the new MOI
    4. Major changes affecting the MOI and how to submit the changes to the CIPC
    5. The Conversion from a Close Corporation to a Company

Terms and conditions  

  1. No shows on the day of the event will be charged 100% of the course price. A substitute delegate is welcome at no extra cost. 
  2. Delegates may transfer their registration to another event, once at no charge - provided we are informed at least 5 working days before the event. For last minute transfers or transfers made inside of the 5 working days, a late transfer fee of 20% will be charged.  
  3. You may cancel your registration, in writing, up to 7 working days before the event takes place, incurring a 10% administration cost. Cancellations made inside of the 7 days will be liable for the full fee.  
  4. Unfortunately, no refund can be given to delegates who do not attend without giving prior notice.  
  5. B Square reserves the right to cancel the event, change the speaker or to change the venue.  
  6. Please note, once your registration form is received, you will be issued with a tax invoice. Payment, or proof thereof or an order number must be received the day before the event.  
  7. Should you have any specific dietary requirements, there could be an additional charge levied by the venue.
