Do You Need an Operating Agreement? Most Likely You Do!

An often asked question is:  If I am the only owner of my limited liability company, why do I need an operating agreement?  In this workshop,  you will learn the importance for a single member limited liability company (SMLLC) or a multiple member limited liability company (MMLLC) of having a written and signed Limited Liability Operating Agreement.  As approximately 70% of New Hampshire Limited Liability companies are a SMLLC, the focus will be on LLCs with one member.  However, the importance of LLCs with more than one member will be discussed.   We will also review the mandatory and discretionary provisions in an operating agreement under the New Hampshire statute.

This material will be presented by Carole A. Mansur, Esquire of Parnell, Michels & McKay, PLLC.

We'll also provide a brief overview of the different types of business structures and the tax implications of each.
