Thoughts on Leadership From Someone Who Has Done a Few Laps Around the Track

Summary
Leaders can come from unexpected places. Never sell yourself short or, conversely, be the person who underestimates another person’s potential.

Biography
Major General (Retired) Marcia Anderson graduated from Creighton University in Omaha Nebraska, earning her B. A. in Political Science in 1979.  In addition, she also has a law degree from the Rutgers University School of Law and a Masters in Strategic Studies from the Army War College.  She has several military awards, including the Army Distinguished Service Medal, as well as the Parachutists Badge. 

Her military career included many “firsts” from the time she received her commission as a Second Lieutenant in 1979, until she retired in 2016 after 36 years of service.

In 2010, General Anderson became the first African American Brigadier General to serve as the Deputy Commanding General of the Army’s Human Resources Command, located at Fort Knox, Kentucky, which supports over 1 million Active Duty, Reserve, National Guard and retired Soldiers.  In 2011, she was confirmed by the United States Senate as the first African American female Major General in the Army, Army Reserve or Active Army and was assigned as the Deputy Chief, Army Reserve, and served at the Pentagon, where she had oversight for an $8 Billion budget and over 220,000 Soldiers and Civilians.

General Anderson is married to Amos Anderson and lives in Verona, Wisconsin.  She is currently employed as the Clerk of Court for the Bankruptcy Court for the Western District of Wisconsin.  She served on the board of the United Way of Dane County, and is currently a Director for the Green Bay Packers, as well as a Director for the Madison Gas and Electric Energy Company.

Biography
Bryan Browning currently devotes most of his time to valuing the intellectual property, intangible assets, capital stock, and business enterprise values of both publicly traded and privately held companies. Mr. Browning is also actively involved in VRC’s opinion practice, regularly working with VRC’s clients assisting them with solvency, fairness, and capital adequacy opinion needs. He has significant experience providing valuations for the retail, manufacturing and distribution, food, healthcare, and financial and professional services industries.

Mr. Browning also has considerable experience providing litigation support. He has testified as an expert witness in various circuit and federal courts where the valuation of assets was at issue.

Mr. Browning holds the designations of Chartered Financial Analyst (CFA) and Accredited Senior Appraiser (ASA) from the American Society of Appraisers. He holds a master’s degree in economics and finance from the University of Wisconsin - LaCrosse and a bachelor’s degree in economics from the University of
Wisconsin - Platteville.
 


 
Paul Hultgren
Vice President of Business Development | Valuation Research Corporation

Biography
Paul Hultgren is responsible for VRC’s business development in Wisconsin, Minnesota, Missouri, and Texas. He has significant experience providing corporate advisory services specifically to publicly traded, privately held, and private equity firms.

Prior to joining Valuation Research, Mr. Hultgren was a Founder and Director of a Milwaukee-area Private Equity and Venture Capital firm. He was also a Senior Vice President and Director of BMO Harris Bank and has extensive experience in financing, advising, and enhancing value for companies of all sizes, types, and industries.

Mr. Hultgren holds an Executive MBA from Marquette University’s Graduate School of Business, and a bachelor’s in finance and marketing from Marquette University’s College of Business Administration.

Summary
This professional development session is a 45-minute panel discussion on how to best prepare for a sale process followed by a 10-15 minute Q&A period. Each group will briefly introduce their organization. Cleary Gull will provide opening remarks about the current state of the capital markets and the importance of timing in a sale process. Mason Wells will provide opening remarks about what is important to a buyer and how to best position your company to maximize interest and value. Godfrey & Kahn will provide opening remarks about the due diligence process and how to best prepare for the wave of third-party service providers that you will encounter. The panel participants will answer questions about building your M&A team, what makes an institutional quality seller, importance of management and employees, and financial readiness.

Biography
Mr. Chimenti joined Cleary Gull in 2005 and is a Managing Director and member of the firm’s Board of Directors. He has 22 years of transaction experience and is responsible for executing transactions, business development and private equity coverage. Mr. Chimenti has advised numerous clients in a variety of industries and has significant experience in the Precision Machining, Metal Fabrication and Processing, Industrial Products, and Manufacturing industries.

Prior to joining Cleary Gull, Mr. Chimenti worked at Cornerstone Business Services and Wells Fargo Business Credit. He has worked in Milwaukee, WI, Indianapolis, IN and Chevy Chase, MD.

Mr. Chimenti is a member of the Board of Directors of Global Precision Products, LLC, a Board Member of the Wisconsin Chapter of the Association for Corporate Growth, a member of the Children’s Hospital of Wisconsin Investment Subcommittee of the Board of Directors, and a guest lecturer at the University of Wisconsin-Milwaukee, University of Wisconsin-Madison and Marquette University. Mr. Chimenti earned an MBA from the University of Notre Dame and a BS in Finance from Boston College.

Timothy J. McCoy

Shareholder | Godfrey & Kahn

Tim McCoy is a shareholder of the firm and member of the Corporate Law and Real Estate Practice Groups, practicing in the Green Bay and Appleton offices of the firm. He represents clients in a wide range of general corporate and business law matters throughout Wisconsin. His practice includes mergers and acquisitions; the formation, organization and capitalization of new business entities; organization of joint ventures; and general advice regarding corporate and business matters. He is experienced in international business transactions and joint ventures, including transactions involving European and Asian parties. 

In addition, he regularly advises and represents clients in sophisticated commercial real estate transactions, including project siting and permitting, as well as real estate development and leasing matters, including the preparation and review of architectural and construction contracts. Mr. McCoy also is a member of Godfrey & Kahn’s Energy Strategies Practice Group. His real estate practice has included the divestiture and sale of a regulated hydro-electric power generation facility and dam for a paper company and the siting and permitting of a wind-turbine generation facility for a regional electric utility. Mr. McCoy has spoken and presented publicly at CLE and other seminars on commercial real estate transactions and commercial real estate project financing.

After receiving his undergraduate education from the University of Wisconsin - Madison, and prior to entering law school, Mr. McCoy worked in chemical/biomedical engineering research and development for the University of Wisconsin and in materials science for a leading medical device manufacturer in Minneapolis.

Jay Radtke
Senior Managing Director | Mason Wells

Biography
As Senior Managing Director of Mason Wells Buyout Funds, Mr. Radtke is primarily responsible for supporting the investment activities of those funds. In this capacity, Mr. Radtke is responsible for initiating investment opportunities, negotiating transactions, supervising due diligence, serving on the Board of Directors of portfolio companies, and working with portfolio company management teams. Mr. Radtke is a Co-Chairman of the Investment Committee of Mason Wells Buyout Fund IV.

Mr. Radtke has approximately 20 years of private equity investing experience in middle market companies. Prior to joining Mason Wells in 2006, Mr. Radtke worked for Cornerstone Equity Investors, LLC in New York for five years, where he was responsible for the origination, analysis, due diligence and execution of control-oriented investments in middle market companies in the business services and specialty manufacturing industries. Prior to Cornerstone Equity Investors, Mr. Radtke worked in Lehman Brothers' New York office for three years, where he was an Investment Banking Analyst in the real estate and mergers and acquisitions groups.

A native of Wisconsin, Mr. Radtke received a Master of Business Administration degree from Columbia Business School and a Bachelor of Arts degree from Vanderbilt University.
