Buying and Selling a Business

ATTENTION BUSINESS BUYERS OR BUSINESS SELLERS!  This workshop is essential if you are thinking about buying or selling an existing business.  In this workshop presented by business buy-sell transaction professionals you will:

  • Learn about the marketplace for the business buy-sell transaction—and how to find and access the “Hidden Market”.
  • Hear about the process and people involved in buying or selling a business and learn how to effectively deal with brokers and other advisors.
  • Gain a practical knowledge of essential principals of business valuation and pricing.
  • Learn about financing issues that can make or break the deal and about the critical role of “negotiation” in making and concluding a deal.
  • Attain an understanding of pertinent legal issues, including critical elements of the purchase or sale contract, “due diligence”, and the process of closing the deal.

Presenters:

Alex A. Galenes is a SCORE mentor who has been owner and operator of business brokerage firms in the Midwest and in Southern California.  A Certified Business Intermediary, he can speak authoritatively regarding all aspects of the business buy-sell process and is well experienced in rendering opinions of value of on-going businesses.  He has published numerous articles on various aspects of the business buy-sell process and has been active in local, state and national business and international brokerage professional associations.  Additionally, in his prior career as US Army officer who earned his MBA with a specialty in Health Care administration, he served as a professional health care administrator worldwide within the military health care system.

Peter Louis is a SCORE volunteer mentor who graduated cum laude in 1960 from the University of Witwatersrand Law School in Johannesburg, South Africa.  He practiced law from 1961 until 1983 in Johannesburg and was co-senior partner in a medium-size law firm until he emigrated to the United States in 1983 to head the in-house legal department of a large international company.  He left that company to start the business brokering company of Keystone International, Inc., a firm that eventually became the largest brokerage house in Florida.  With others he created the Florida Business Brokers Association, of which he was president for two years.  Peter sold the company in 1999 and relocated to California and launched Keystone International as a Mergers and Acquisitions (M&A) company.  He has specialized in business valuations since 1999 and has been certified as a New York Institute of Finance business valuator.  Peter has valued many hundreds of companies from small mom and pop businesses to businesses with sales in excess of $25,000,000.

Don DiSpaltro.  Don has over 20 years’ experience in management and business development positions in the healthcare industry.  Working for one of the country’s largest medical/surgical products distribution companies, Don consistently led the company in sales.  As a regional manager for corporate programs as well as a training manager for new recruits, Don provided expertise in grooming new hires for the Southern California market. In 1992, Don founded Unimed Supply and Specialty, serving the highly competitive Southern California medical supply marketplace.  Unimed quickly grew revenues and profits, and was established as a top competitor in its niche.  In 2001 private investors purchased the company.  After establishing a computer software firm and obtaining venture financing for its growth, Don moved on to start a career with the highly regarded Vanguard Resource Group’s San Diego office.  Don has worked with hundreds of companies, has been a consistent top producer and the recipient of multiple national awards.  Don is a dedicated professional committed to guiding his clients through the complex and demanding tasks associated with business transfers, valuations, and transaction management.  He has earned both the Certified Business Broker designation, awarded by the California Business Brokers Association and the prestigious Certified Business Intermediary designation, awarded by the International Business Brokers Association.
