How Documents Can Change the Price Tag of Your Family Business

 Buyers of a business analyze the critical relationships which support the value of the target business, including customer, supplier and employee relationships.  Strong documentation can increase/support the value of the business on succession or sale while weak documentation can diminish the value of the business.  Ongoing analysis of a business’ salient relationships and the supporting documentation will result in a business that is better positioned for growth, financing, succession planning and liquidity options.

After completion of the presentation, participants should:

  • Be better prepared to evaluate the relationships which are fundamental to their business and should be in a better position to understand why it is crucial that those relationships with the greatest value to the business are properly documented;
  • Appreciate the importance of critical documentation being readily available either physically or
    electronically; and
  • Have gained a better understanding of associated privacy and confidentiality concerns and be more
    aware of available options.

Presenters:

Scott T. Spindler, Partner - Scott Spindler is a partner with the Business Law Group and the Practice Group Co-Chair for our Education Law Group. Servicing a broad range of clients (including school boards, credit unions, agriculture and service cooperatives, private equity funds, as well as businesses in the transportation, agri-business, information technology, bio-technology and manufacturing sectors), Scott commits to understanding his clients’ priorities and working with them to develop solutions to their ever changing business opportunities and challenges.


Michael R. Mumby, Associate - Michael is an associate with the Business Law Group whose practice includes incorporation, professional corporations, corporate restructurings, shareholder agreements, mergers and acquisitions, leases and other commercial contracts, as well as institutional financing. He represents individuals, small businesses and private corporations and also deals extensively with health professionals, medical clinics, credit unions and franchisees.  Michael has experience working with large-scale commercial property purchases and recently was involved in the acquisition of an innovative, collaborative shared space building for a leading local non-profit. Michael also acts as a solicitor assisting our Restructuring, Insolvency and Bankruptcy Group in restructuring transactions.
