TOPIC:  Tax Consequences when Selling a Business

Seminar Description:  Are any of your clients contemplating selling their business or have they already done so, leaving you with tax reporting questions?  This month's seminar will focus on the tax considerations of Business Succession Planning. 

Learning Objectives:

  • What are the different types of property that may be sold?
  • How are asset dispositions handled for tax purposes?
  • Where are dispositions reported?
  • What are the definitions of basis, adjusted basis, amount realized, fair market value and amount recognized?
  • What are the tax considerations for sales of C Corps, S-Corps, S Corps with built-in gains and Limited Liability Companies?
  • How are privately held businesses valued and sold?

Robert S. Schwartz, Esq., Lindabury, McCormick, Estabrook, & Cooper, P.C.
Robert Schwartz has many years of experience advising clients in federal and state, income, excise, estate and gift and other tax matters in the international and domestic taxation planning contexts. He represents clients before federal and state tax authorities, administration and judicial, civil tax controversies, including sales and use taxes and overseas asset disclosures. He has served as the Chair of the New Jersey Bar Association Section on Taxation Law, the Partnership Taxation Committee and he has served on the New Jersey State Bar Association's Supreme Court  Committee on the Tax Court.  He is the author of numerous articles in national publications and a frequent lecturer and speaker on a broad spectrum of taxation topics. Mr. Schwartz received his J.D. from Duquesne University and an LL.M., in Taxation from Temple University.

Walter J. Szymanski, Everingham & Kerr, Inc.
Walter J. Szymanski joined Everingham & Kerr as Director in 2015. Prior to joining the firm, Mr. Szymanski worked for a regional investment banking firm where he was responsible for developing leads and maintaining client relationships, as well as contributing to the due diligence process for key assignments.  Mr. Szymanski brings a strong track-record in customer relationship management. His years of working with unions, regulated industries, environmental agencies, payroll and insurance companies uniquely position him to quickly understand the pressures and challenges today’s business owners face and navigate opportunities.  Mr. Szymanski earned his BSBA in Finance from Thomas Edison State University.

Jo-Ann Weiner, EA, CFE
Jo-Ann Weiner, EA, CFE worked for the IRS for 35 years before founding J. L. Weiner & Associates, LLC in 2012.  As a Certified Fraud Examiner Jo-Ann works with corporations victimized by fraud.  Jo-Ann is a class of 2015 NTPI Fellow and an NTPI Level 1 and Graduate Level in Representation instructor.  She currently serves as a Director on the Board of the New Jersey Society of Enrolled Agents and is the co-chairperson of the Education Committee.  Jo-Ann is the author of  "Indirect Methods of Proving Income" published in the EA Journal as well as "Taxes in the New Year" in NAWBO's national publication. She  is currently enrolled at Caldwell University working toward her master’s degree.  Ms. Weiner’s practice consists of tax controversy resolution cases, income determination cases in divorces and bankruptcies and income tax preparation.
