When starting a business, it’s important to know the costs involved, and to have access to enough money to get through the first few months. But “how” you fund the venture is just as important as “how much” you put in. Doing it wrong can create insurmountable tax problems and make it difficult, if not impossible, to attract future investors.

Participants will learn the right way to finance your small business, including:

coming up with the right capital structure for your business;
lending money to the company vs. making capital contributions and how to take money out of an LLC or S corporation;
how (and when) to issue shares to your founders;
compensating your “sweat equity” partners and how to price shares in a startup business;
making equity grants contingent upon a “change in control” of the business; and
what to do when a founder quits or fails to perform as expected.
