SimpleSTEPS for Starting Your Business 

Of primary concern in creating a small business is determining whether to incorporate, or form a limited liability company, or operate as an individual or as partners.  In this workshop we will review and discuss the objectives in forming a business entity, and how the different forms of business entities affect taxes, management, ownership, investment, control and limited liability.  Different businesses have different needs, and different management and ownership arrangements require specific considerations in structuring the business to protect the expectations of managers, owners and investors.   In addition, the business owner must keep an eye on cost and tax considerations, while at the same time considering the issues of limiting liability, allocating management authority, detailing how profit will be shared, and planning for future changes in ownership.  In many instances, owners want to plan for a form of management that is free of the formality associated with strict corporation styled management, and in other situations a more formal decision making process is necessary to protect the rights of minority or passive investors.  In this workshop we review the considerations and tools available to match the needs of the business with the right choice of form of business entity.

The key points to be covered in this workshop include:

 

  • How to limit your liability from your business in the selection of the form of business.
  • Reviewing the advantages and disadvantages of the different types of businesses.
  • Protecting the expectations of owners, members, and investors.
  • Planning for future changes in management and owners.
  • Determining whether you should hire an attorney to help set up the business.

 

Workshop Presenter - Brad Brerenton


 Brad Brereton is the senior attorney of the Brereton Law Office located in downtown Santa Cruz.   Mr. Brereton regularly advises clients on the options for creating small businesses, and on structuring the management and control of those businesses.  He also has extensive experience in representing clients in the purchase and sale of businesses, employment issues, and general commercial transactional matters.  Additionally, he has a long history in representing clients in civil litigation arising from business and real property disputes.  Mr. Brereton graduated from Aptos High School, attended Cabrillo College, earned his degree in Business Administration and Accounting from San Jose State University, and obtained his law degree from University of California Hastings College of the law.  He has been practicing law since 1983.

Seating is limited.  Pre-registration is suggested.

Parking in Upper Lot is $0.50 per hour
