Legal Aspects of Running a Business 

Every young business makes decisions with legal implications daily.  What do business owners need to consider, and how should they prioritize issues?  In this two part series, skilled and experienced business and IP lawyers will provide guidance regarding business structure, proprietary information, data security, dealing with investors, partnering, and employees.

 THIS IS A TWO SESSION workshop...Individuals can register for either or both workshops. 

 This registration is for Part 2.

This workshop will give startup and young businesses legal perspective on:

 Part 1:   Separate Registration - September 5

1.       Once the idea for the business is established and the core plan is in the works – what business model works best?  That is, how should the business entity be set up?  Is it one owner, a partnership between two people or a group of people?  What structures are available and what works best.

2.       What is the value added proposition of the business?  Is it service, technology, a commodity to be delivered?  Based on all that what is the strategy for protecting that value added?  Trade secrets, patents, branding and name recognition, some combination?  Here will be a discussion of proprietary information.

3.       To get the business going, what is needed?  Supplies, partners, investors?  Here will be discussed basic agreements that the business person should be familiar with (e.g., NDAs, collaboration agreements, supply agreements, service agreements, etc.

Part 2:  September 18, 2018 Newark Public Library

4.       How does the company plan for the hiring of employees?  What are some basics?

a.       Classifying employees

b.      Employee benefits

c.       Agreements with employees (IP ownership, confidentiality, non-competition).

5.       What sort of data security is needed and how can a company implement a plan?

6.       How should the company develop its branding and name recognition?

Key course takeaways:

1.       Provide the new business owner/entrepreneur with practical guidance on what is needed from a legal perspective.

2.       Provide a plan for dealing with issues having legal implications from the very beginning – to avoid problems down the road.

Janet Reed - Partner - Janet E. Reed is a partner at Potter Anderson & Corroon LLP, where she heads the firm’s intellectual property transactional and counseling practice.  She has extensive experience in domestic and foreign patent prosecution, patent portfolio management and strategic planning, trademarks, evaluation of new technology, and drafting of license and other commercialization agreements.   Janet’s current passion is counseling small companies and entrepreneurs to give them a solid foundation in IP management and strategy as they grow and commercialize their technology.  She has extensive experience in domestic and foreign patent prosecution, patent portfolio management and strategic planning, trademarks, evaluation of new technology, and drafting of license and other commercialization agreements.
