Buy/Sell Seminar Series

Session 2: Buy/Sell Agreements. Everyone Needs One

This two-part series is designed for small business owners to learn how to evaluate their business, then find out how to plan a buy/sell agreement to gracefully exit their company.

The series is presented by Peter Brehm & Steven Ness, Attorneys & Partners of the Business Law Center. Both Peter and Steven earned their law degrees from Wm. Mitchell College of Law in St. Paul.

Peter Brehm is an adjunct professor at the Wm. Mitchell College of Law and also teaches seminars for people to start, manage, and wind down their small businesses and is a Certified Valuation Analyst for small businesses.

Steven Ness has been advising small business owners for more than 25 years on business planning, sales, acquisitions, and succession planning. He is also a member of the Henn. Co. and Minn. Bar Associations, is on the Minn. Supreme Court’s list of neutrals, is a member of the American Arbitration Assoc., and the National Arbitration Forum.

In this session, you will learn:
     • What are buy/sell and control agreements?
     • Why should I have one?
     • What happens to my business when I die?
     • What happens if my partner dies, gets disabled, or divorced?
     • What if my partner is stealing from our company?
     • Can I make my partner buy me out?
     • How much is my stock worth?
