IR in M&A Deals: Communicating Strategic Value

Join us for a unique breakfast meeting that promises an insightful and interesting discussion about communicating the strategic value of M&A deals. A continental breakfast buffet will be available at 7:30 am, and our meeting will begin at 7:45 am.

                        

Our panel is comprised of speakers that were directly involved in a completed deal and moderated by an expert on M&A transactions. They will discuss recently completed M&A deals, including the Comcast-NBC and Rohm&Haas-Dow deals, the importance of communicating the strategic value of the transaction, and the role of investor relations. While every deal is different, the lessons learned can be applied to all.

James McCormick, CFA 
Boenning & Scattergood

Mr. McCormick is responsible for providing investment banking services, including mergers and acquisitions advisory, private placement and public markets services to the firm’s privately held and publicly traded clients. He has experience working with privately held companies throughout the Mid-Atlantic region.
He is a founding member of Boenning & Scattergood's investment banking practice, and has worked with public and private business owners on numerous merger and acquisition, and corporate finance transactions across a wide range of industries. Recent transactions that he has been involved with include working with clients in the health care, private education and building products sectors of the economy. Prior to joining Boenning & Scattergood, Mr. McCormick worked in the investment banking advisory groups of Griffin Financial, Berwind Financial and Brown Brothers Harriman. In addition, he brings to bear experience in the commercial banking sector, as he worked for the lending unit of the original CoreStates Bank. He also has industry operational experience as a former manager of financial planning and analysis for Traffic.com, Inc.
Mr. McCormick is a graduate of Pennsylvania State University and is a CFA charterholder. He holds the Series 7, 63 and 24 licenses.

Blaine Davis 
Endo Pharmaceuticals

Blaine Davis joined Endo in May 2008 as Vice President, Corporate Affairs. He leads the Company’s Investor Relations, Corporate Communications and Alliance Management functions. Prior to joining Endo, Mr. Davis was Director of Alliance Management within the Corporate and Business Development unit at Bristol-Meyers Squibb. Earlier, Mr. Davis was a Vice President of Capital Markets at Thomson Financial.

Clayton Fletcher 
ViroPharma

Robert C. Fletcher is our Vice President, Business Development and Project Management. Mr. Fletcher joined ViroPharma in 2001 as a project leader, and has since held roles of increasing seniority during his tenure in the areas of business development and project management. Prior to joining ViroPharma, Mr. Fletcher held multiple roles of escalating responsibility at SmithKline Beecham Pharmaceuticals/GlaxoSmithKline, Becton-Dickinson and Company, Zynaxis Inc. / Intracell Corporation, and Centocor Corporation. He holds both a master of science degree and a bachelor of arts degree in biology from Wake Forest University.

Michael Kelman 
Comcast Corporation

Michael Kelman serves as Senior Director of Investor Relations for Comcast Corporation. Prior to joining Comcast in September 2007, Mr. Kelman was the Senior Media and Entertainment Analyst at Susquehanna International Group. Prior to SIG, he spent over 5 years at Bear, Stearns & Co. as a Vice President in their media equity research team, focusing on large-cap entertainment companies. In addition, he had lead coverage responsibility for several smaller-cap media companies. Prior to Bear Stearns, Mr. Kelman worked in equity research at Schroder & Co., focusing on asset managers and broker dealers. Prior to Schroders, he worked at PricewaterhouseCoopers in their corporate finance group, specializing in business valuations. Mr. Kelman graduated with high distinction from Pennsylvania State University with a B.S. in Finance and a minor in Business Law. 

Andrew Sandifer 
FMC Corporation

Andrew Sandifer serves as Vice President, Corporate Planning and Development for FMC Corporation. In this role, Andrew leads the company’s strategic planning and M&A activities. Mr. Sandifer joined FMC in September 2010 from ARAMARK Corporation, where he was Vice President, Strategic Initiatives, responsible for leading major growth strategy and performance improvement initiatives across the company. Prior to ARAMARK, he spent seven years with the former Rohm and Haas Company, now part of The Dow Chemical Company, where he held roles in Strategic Planning, Sales, Marketing, Finance, and General Management across several global businesses. Prior to joining Rohm and Haas, Mr. Sandifer was a Manager with the Boston Consulting Group, where his areas of focus were corporate development, mergers and acquisitions, and business strategy. Earlier in his career, Mr. Sandifer held engineering, operations, and technical roles in the packaging businesses of International Paper and James River Paper companies.
Mr. Sandifer earned Bachelor’s and Master’s degrees in Industrial Engineering from Georgia Tech, where he was a President’s Scholar and President’s Fellow, and received his M.B.A. from Harvard Business School.
