Post Vest Holding Periods: The Intersection of Corp Governance, Plan Design, & Financial Accounting

The inclusion of post vest holdings period in time vested and performance vested restricted stock awards continues to increase in prevalence as employers strive to further align executive compensation programs with corporate governance best practices, and to facilitate compliance with regulatory requirements - such as the incentive compensation disgorgement provisions of Dodd-Frank.  This session will provide an overview of the current corporate governance environment related to mandatory post vest holdings periods.  The session will also outline competitive practice and prevalence of post vest hold periods.  Finally, the session will discuss the financial accounting benefit and reduction in compensation expense that may be realized for awards that include mandatory post vest holding periods.

Biographies:

Jon Burg, FSA, CEP, Partner, Aon Hewitt / Radford

Jon Burg is Partner and Practice Leader of Radford Valuation Services, the equity valuation group of Aon Hewitt Company. He has 17 years of benefits and compensation consulting experience, including all forms of equity compensation. Jon collaborates directly with management and compensation committees to design sound equity compensation plans, practices and procedures. He also works with companies on the valuation and financial management of their retirement and equity compensation programs, leveraging an extensive actuarial background to provide rigorous analysis of historical plan experience. Since joining Radford, Jon has worked with numerous companies in the Bay Area ranging from small private companies to large Fortune 100s. He earned a bachelor of science in mathematics and economics from the University of Washington. He is a Fellow of the Society of Actuaries, a Certified Equity Professional, and currently serves on the Board of the Global Equity Organization (GEO). Jon frequently speaks on a variety of equity compensation topics at industry events, including national and local GEO and NASPP conferences. Jon is based in San Francisco.

David Thomas, Partner, Wilson Sonsini Goodrich & Rosati

David Thomas is a partner in the employee benefits and compensation practice at Wilson Sonsini Goodrich & Rosati. He has 18 years of experience providing legal and practical guidance on compensation and benefits issues facing companies ranging from start-ups to multinational corporations. Dave assists high-growth companies with compensation and employee benefits issues affecting recruiting and retention, including the design and administration of: equity incentive plans, employment agreements, tax-qualified retirement plans, and welfare benefit plans (including the data privacy issues present with such plans). Dave also has significant experience assisting large and small employers with compensation and benefits issues that arise in mergers and acquisitions. He has advised on over 300 transactions in the last six years. Dave's mergers and acquisitions experience includes the representation of both buyers and sellers in large and small transactions, including cross-border and other complex transactions. He has a particular focus on the unique issues involved in a private-equity-led purchase, including rollovers of sellers' equity and the issues that arise in the spinoff or carve-out of a division of a larger company to a purchaser that has no ongoing operations. In addition, Dave has substantial experience with public offerings, including the representation of issuers in eight successful initial public offerings since 2011 and the representation of underwriters in an additional 12 during the same period. Dave actively participates as a member of the Bay Area community through his service on the board of directors of the Wilson Sonsini Goodrich & Rosati Foundation. He also volunteers with the Arthritis Foundation, chaired the 2012 San Francisco Arthritis Walk, and co-chaired the Children and Teen Programs for the 2014 National Juvenile Arthritis Conference. For relaxation, Dave enjoys cooking and photography.
